1. Scope
These Terms govern all quotations, sales, and supplies of WINCHX products (electric and hydraulic winches, accessories, and parts). They apply to both B2B and B2C transactions.
2. Quotations & Orders
- Quotations are valid for 14 days unless stated otherwise.
- Orders are confirmed upon written acceptance.
- Technical specifications are indicative and may be updated.
3. Prices & Payment
- Prices are in EUR (€), EXW/FCA Cyprus unless agreed otherwise (Incoterms® 2020).
- Standard payment: 100% prior to dispatch, unless otherwise agreed in writing.
- Alternative terms may apply for approved customers.
- WINCHX reserves the right to suspend deliveries in case of delayed payment.
4. Delivery
- Delivery times are estimates and not binding.
- Risk transfers according to agreed Incoterms®.
- Partial shipments may occur.
For customers outside Cyprus, delivery is arranged at the customer’s responsibility. All transport, insurance, customs clearance, duties, and related costs are borne by the buyer, unless otherwise agreed in writing.
5. Inspection & Acceptance
- Goods must be inspected upon delivery.
- Any damage or shortage must be reported within 48 hours.
6. Warranty
B2B (Business Customers)
- Warranty: 12 months from invoice date
- Covers manufacturing defects only
- Excludes misuse, overload, incorrect installation, modifications, and wear
- Remedy limited to repair or replacement
B2C (Consumers)
- Warranty: minimum 2 years under Cyprus & EU law
- Covers lack of conformity
- Includes right to repair, replacement, or refund
- Does not affect statutory consumer rights
7. Installation & Use
- Buyer is responsible for correct installation and system integration
- Equipment must be used within rated capacity
8. Compliance & Documentation
- CE Declaration provided where applicable
- Integrator responsible for full system compliance
9. Returns
General
- Returns require prior written authorization (RMA)
- Goods must be unused, in original packaging, and in resalable condition
Customers Outside Cyprus
- All return shipping, insurance, customs duties, and related costs are borne by the customer
- WINCHX reserves the right to inspect returned goods before approval
Defective Products
- WINCHX may provide repair, replacement, or spare parts at its discretion
- Full returns are limited and subject to approval
Exclusions
- Custom/OEM products are non-returnable
- Installed, used, or improperly handled products are not eligible for return
Consumer Rights (B2C)
- Where applicable, consumer withdrawal rights under EU law remain valid
10. Liability
- WINCHX is not liable for indirect or consequential losse
- Liability limited to the value of supplied goods
11. Retention of Title
- Goods remain property of WINCHX until full payment is received
12. Confidentiality
- Technical and commercial information is confidential
13. Force Majeure
- WINCHX is not liable for delays beyond reasonable control
14. Governing Law
- Governed by Cyprus law
- Jurisdiction: District Court of Limassol
